Welcome to GROOMBOX LLC (“GROOMBOX” or  “Company”) is the operator of  the www.groomboxss.com and www.groombox.co site (the “Site”).  By  accessing, browsing or using this Site, you acknowledge that you have   read, understood and agreed to be bound by these Terms of Use (these   “Terms”). If you do not agree to these Terms, you should not use or   access this Site. GroomBox reserves the right to revise these Terms at   any time by updating this posting. You are encouraged to review these   Terms each time you use the Site because your use of the Site after the   posting of changes will constitute your acceptance of the changes.   Agreement to these Terms also constitutes your agreement to the  Groombox  privacy policy (the “Privacy Policy”), which are incorporated  herein.  We grant you a personal, limited, non-transferable,  non-exclusive  license to access and use the Site. We reserve the right,  in our sole  discretion and without notice to you, to revise the  products and  services available on the Site and to change, suspend or  discontinue any  aspect of the Site and we will not be liable to you or  to any third  party for doing so. We may also impose rules for and  limits on use of  the Site or restrict your access to part, or all, of  the Site without  notice or penalty. Your continued use of the Site will  constitute your  acceptance of any such changes. 

Use of the Site  

You may use the Site only for your own  noncommercial personal use  and in compliance with these Terms. You are  responsible for your own  communications, including the transmission,  uploading or posting of  information to the Site and are responsible for  the consequences of  such communications. Any other use of the Site  requires the prior  written consent of Groombox. You may not otherwise  copy, modify, or  distribute the contents of this Site without the prior  written consent  of Groombox. You may not modify, publish, transmit,  participate in the  transfer of, sell, create derivative works from, or  in any way exploit  any of the content found on the Site, in whole or in  part. We require  all Members (as defined below in section 4 of these  Terms) to agree not  to use the Site, and specifically prohibit any use  of the Site, for  any of the following purposes:  

  • Posting,  communicating or transmitting any material that  infringes on any intellectual property, publicity or privacy right of  another person or entity;
  • Posting any information which is untrue, inaccurate or not your own;
  • Engaging in conduct that would constitute a criminal offense or  give rise to civil liability or otherwise violate any law or regulation;
  • Attempting to  interfere in any way with the Site, Groombox’s  network security, or attempting to use the Site’s service to gain  unauthorized access to any other computer system; and
  • Using the Site to drop ship merchandise to third parties

You may not use spiders, robots, data mining  techniques or other  automated devices or programs to catalog, download  or otherwise  reproduce, store or distribute content available on the  Site. Further,  you may not use any such automated means to manipulate  the Site, such  as automating what are otherwise manual or one-off  procedures. You may  not take any action to interfere with, or disrupt,  the Site or any  other user's use of the Site, including, without  limitation, via means  of overloading, “flooding”, “mailbombing” or  “crashing” the Site,  circumventing security or user authentication  measures or attempting to  exceed the limited authorization and access  granted to you under these  Terms. You may not frame portions of the Site  within another web site.  You may not resell use of, or access to, the  Site to any third party  without the prior written consent of Groombox. 

Registration and Passwords 

In order to access certain services on the  Site, you will be  required to provide specific information. All  information about you  must be truthful, and you may not use any aliases  or other means to  mask your true identity. Any access codes or passwords  provided should  be safeguarded at all times. You are responsible for  the security of  your access codes and passwords and will be solely  liable for any use  or unauthorized use of the Site under such access  codes or passwords.  We may suspend or terminate your access at any time  with or without  notice. To understand how we use information collected  from you, please  read our Privacy Policy. 

Additional Terms and Conditions 

You agree that additional terms and  conditions may apply to specific  products, orders or your use of certain  portions of the Site, which  can be found under the How It Works Page.  If there is a conflict  between these Terms and How it Works, the How it  works shall control.

How it works 

Boxes ship near the end of the month, every month.
 

Classic Monthly: 

This box contains anywhere from 3-5 items each month including one  shear. We have lots of  large and small brands that you may not have had  the pleasure of using  before. 

Lite:

Lite boxes contain only a shear and a free bonus item that may or may  not be grooming related. Great for those who want our awesome shears  and those who are budget savvy. 

INTERNATIONAL CUSTOMERS:

Duties, tariffs, taxes, and other import charges are the  responsibility of the buyer(you). Each GroomBox will be marked the value  of what you paid with shipping. We do not pay taxes and duties on  exports, these are the responsibility of the buyer. 

Select-A-Size

Subscribers have the option of choosing the size shear that they  receive in every box. This is great for those who only use 1 size shear.  Get the size shears you want in each box, no more frustration with  shears that are not sized for you.
 

New Subscribers 

All new subscribers will receive a box shortly after their first  order in the form of a favorites box. Favorites boxes are those that are  packed with past favorites and this allows us to ship you a box quickly  instead of having to wait for the regular rotation. After your first  box, you will join the regular rotation that ships near the end of each  month.

We ship new subscriber boxes out on a monthly basis at the end of month regardless of when your order is placed.
 

Existing Subscribers 

Renewal dates are on the date you sign up every month unless we have  to move your date per your request or to allocate for the shipping  schedule. Once the payment is successful, all boxes will ship out near  the end of the month. Please note that it is your responsibility to  check your payment dates, and the system will e-mail you when a payment  is not successful. Failure to update your info will cause the loss of  your slot and it may not be possible to sign back up for the same  offering depending upon our capacity. 

In addition, if your renewal does not go through and the  current box has shipped, your renewal will be moved to the following  month. This also applies if your initial payment did not go through.  Under no circumstance will GroomBox ship a monthly box that is paid for  after all boxes have shipped for the month.

Cancellations 

There are a multitude of reasons in which a subscriber may want to  cancel. Reach out to us first at info@groombox.co  and see if there  is anything we can do for you. If not, you can cancel  your subscription  from renewing at any time in your online account.  This does not issue a refund, it simply stops the subscription from  renewing. 

There are no cancellation fees for monthly subscribers. Cancelling  your subscription does not refund the payments already made, it only  stops future renewals. All boxes already paid for will ship as normal  until your orders are filled that have already been paid for. We  do not offer refunds on cancelled subscriptions. Your boxes will  continue to be delivered until your prepaid subscription runs out. This  is because manufacturing is started months in advance for some of our  shears.  

GroomBox does not offer refunds for any boxes. Damaged items will be replaced with like or similar items. 

REFUSAL OF DELIVERY & FAILED DELIVERY ATTEMPTS

If you refuse your GroomBox shipment, we will make an   attempt to get in touch with you. Refusal of delivery counts as   delivery in the eyes of GroomBox. We can reship your package at your  cost to you. Otherwise, if no contact is received, no action will be   taken by GroomBox other than holding your shipments for reshipment to   you for up to 30 days, which we will dispose of afterwards. In the  event that we refund on refused delivery, actual postage  cost will be  deducted from your refund and you will be banned for life  from GroomBox  across all platforms. IF THE DELIVERY CARRIER LEAVES A NOTICE, AND YOU  FAIL TO PICK UP THE PACKAGE, THIS COUNTS AS DELIVERY IN THE EYES OF  GROOMBOX, NO REFUND WILL BE PROVIDED. THIS ALSO APPLIES TO KEEPING YOUR  ADDRESS UP TO DATE. IN NO CIRCUMSTANCE WILL WE RESHIP ANOTHER BOX AT NO  CHARGE DUE TO YOU NOT KEEPING YOUR SHIPPING ADDRESS UP TO DATE.

Delayed Shipments We make every effort to ensure  that your delivery goes off without a hitch. however, in some cases  outside of our control, you may experience delays with carriers in  delivery. All shipments from GroomBox are insured and in the case of  extended delays the following will occur:

1) Once we are notified, after the waiting period(up to 15 days from  shipment, differs on carrier used) we will file an insurance claim on  your behalf.

2) Once the claim is successfully paid, we will reship your box to  you if stock permits, otherwise you will be issued a full refund.

3) At no point will we reship while boxes are still moving through the network, or an insurance claim is still open.

Theft of Delivered Packages

It is your responsibility to ensure that you have a safe area for  delivery. Boxes that are scanned as delivered, will not be reshipped  without a letter from the carrier stating it was misdelivered. We are  not responsible for stolen packages after the delivery scan, nor will  you receive a refund.
 

Other Refunds 

We do not refund gift cards or account credits into cash under any  circumstance. Also, we do not allow returns and refunds of our   subscription boxes under any circumstance.

Site Not for Minors 

The Site is available to registered and  unregistered users who are  18 years old and older and who have not been  suspended or removed by  GroomBox for any reason (each a “Member”). We  reserve the right to  revoke your ability to access the products and  services offered on the  Site for any reason at any time including as a  result of a violation of  these Terms or the Privacy Policy, without  notice.  

Fraud Protection 

As part of our order processing procedures,  we may screen received  orders for fraud or other types of unauthorized  or illegal activity. We  reserve the right to refuse to process an order  due to suspected fraud  or unauthorized or illegal activity. If we  suspect fraudulent,  unauthorized or illegal activity, we may reject your  order or we may  contact you at the phone number or email address you  provided to  confirm your order. We also reserve the right to cancel any  accounts or  refuse to ship to certain addresses due to suspected fraud  or  unauthorized or illegal activity. We take these measures to protect  our  customers as well as ourselves from fraud or other unauthorized or   illegal activity. 

Chargebacks and other forms of Fraud

If you issue a chargeback to GroomBox for a shipment already  received and you have not arranged with us for the return of your box,  we will take further actions as allowed by law not limited to:

1) Invoicing you for the total cost plus the dispute fee

2) Pursuing fraud/theft charges with law enforcement in your jurisdiction

3) Unpaid invoices will be transferred to a collection agency

4) Banned for life across all GroomBox Platforms

Transactions 

If you wish to purchase any product or  service made available  through the Site (each such purchase, a  "Transaction"), you may be  asked to supply certain information relevant  to your Transaction  including, without limitation, your credit card  number, the expiration  date of your credit card, your billing address,  and your shipping  information. You represent and warrant that you have  the legal right to  use any credit card(s) or other payment method(s)  utilized in  connection with any transaction. By submitting such  information, you  grant to Groombox the right to provide such information  to third  parties for purposes of facilitating the completion of  Transactions  initiated by you or on your behalf. Verification of  information may be  required prior to the acknowledgment or completion of  any Transaction.  All descriptions, images, references, features,  content,  specifications, products, and prices of products and services  described  or depicted on the Site are subject to change at any time  without  notice. Certain weights, measures, and other descriptions are   approximate and are provided for convenience purposes only. The   inclusion of any products or services on the Site does not imply or   warrant that these products or services will be available. It is your   responsibility to ascertain and obey all applicable local, state,   federal, and international laws (including minimum age requirements) in   regard to the receipt, possession, use, and sale of any item purchased   from this Site. By placing an order, you represent that the products   ordered will be used only in a lawful manner. GroomBox reserves the   right, with or without prior notice, to do any one or more of the   following: (i) limit the available quantity of or discontinue any   product or service; (ii) impose conditions on the honoring of any   coupon, coupon code, promotional code, or other similar promotion;  (iii)  bar any user from making or completing any or all Transaction(s);  and  (iv) refuse to provide any user with any product or service. You  agree  that by placing an order on the Site, you are entering into a  binding  contract with GroomBox and agree to pay all charges that may be  incurred  by you or on your behalf through the Site, at the price(s) in  effect  when such charges are incurred including, without limitation,  all  shipping and handling charges. In addition, you remain responsible  for  any taxes that may be applicable to your Transactions. 

The Subscription Contract Between You And Us 

GroomBox offers various subscription types:  including re-billable  monthly subscriptions (“Monthly Subscriptions”);  prepaid annual  subscriptions (“Annual Subscriptions”); and prepaid gift  subscriptions  of three, six or twelve months (“Gift Subscriptions”). 

Cancellations

You may cancel your subscription  at any time from your  online account. In order for us to cancel the  subscription via email,  you must email us NO LATER THAN THE 25th of the  month PRIOR.

REFUSAL OF DELIVERY

THIS SAME POLICY ALSO APPLIES IN THE CASES WHERE THE  CARRIERS LEAVE A NOTICE AND YOU FAIL TO PICK UP YOUR BOX. THIS COUNTS AS  DELIVERY IN THE EYES OF GROOMBOX. WE WILL BE HAPPY TO RESHIP TO YOU AT  YOUR COST, BUT NOT OURS, AS WE HAVE ALREADY PAID SHIPPING ONCE.

AUTOMATIC RENEWAL TERMS 

GroomBox subscriptions are subject to automatic renewal, you agree  that GroomBox may submit  periodic charges (e.g., monthly) to your  chosen payment method without  further authorization from you, until you  provide prior notice that you  wish to terminate this authorization or  to change your payment method.  You agree that such notice will not  affect charges submitted before  GroomBox reasonably could act. YOUR  SUBSCRIPTION WILL CONTINUE INDEFINITELY UNTIL YOU CANCEL, OR YOUR  PAYMENT FAILS.  

MONTHLY SUBSCRIPTIONS 

By purchasing a Monthly Subscription, you  agree and acknowledge that  your subscription has an initial and  recurring payment charge at the  then-current subscription rate and you  accept responsibility for all  recurring charges prior to cancellation,  including where applicable any  charges processed by GroomBox after the  expiration date of your  payment card. 

AUTOMATIC MONTHLY RENEWAL TERMS 

Your subscription will be automatically renewed for successive  monthly  periods and your payment method will automatically be charged  for each  successive monthly period at the then-current subscription  rate until  you cancel your Monthly Subscription renewal. 

CANCELLATION POLICY FOR MONTHLY SUBSCRIPTION RENEWALS 

To cancel your Monthly Subscription at any time, you may 1. Logon to   your account and follow the cancellation procedures there. If you   cancel, you will receive any boxes already paid for, and no refunds are  given for boxes that have not shipped yet. Cancellation only stops  future renewals from occurring.

Term Subscriptions 

GroomBox offers term plan pricing from time  to time based upon  available slots for all of its subscription products.  Term pricing is a  contract that you agree to pre-pay for the term  length and we deliver  boxes to you during this term on a monthly basis.  If you choose to  cancel a term plan, you will receive boxes each month  until your  pre-paid plan runs out. We do not offer cancellations or  refunds of  prepaid term plans as we manufacture some items months in  advance. 

ANNUAL SUBSCRIPTIONS 

By purchasing an Annual Subscription, you  agree and acknowledge that  your subscription has an initial pre-payment  feature for one full year  of service and a recurring Annual Subscription  renewal fee at the  then-current Annual Subscription rate and you accept  responsibility for  all recurring charges prior to cancellation,  including where  applicable any charges processed by GroomBox after the  expiration date  of your payment card. 

AUTOMATIC ANNUAL RENEWAL TERMS 

At the end of each yearly subscription term, your subscription will  be  automatically extended for another term of one year and your payment   method will automatically be charged the Annual Subscription renewal  fee  at the then-current Annual Subscription rate until you cancel your   Annual Subscription renewal. 

CANCELLATION POLICY FOR ANNUAL SUBSCRIPTION RENEWALS 

You can cancel your current Annual  Subscription at any time from  renewing. To cancel your Annual  Subscription renewal for the following  year, at any time after you were  billed for the then-current year, you  may logon to your account and  follow the cancellation procedures there,  or send us a message at  support@groomboxss.com and we will do it for  you. 

Gift Subscriptions: 

For Gift Subscriptions, the subscription  will not be renewed if you  designate it so during checkout after the  then-current term expires.  You cannot cancel a Gift Subscription and the  pre-paid fee is  non-refundable. We reserve the right to revoke your  subscription at any  time as a result of a violation of these Terms or  the Privacy Policy. 

Renewals 

Monthly subscription plans renew each month  on the date you sign up  unless your date is moved at your request or the date needs to be moved  to accommodate the shipping schedule. If for some reason your payment  card fails, you will be  notified via email and GroomBox’s payment  processor will try for 10 days  to reauthorize the charge. If the charge  cannot be completed, you will  be notified via email. If there is no  response from you  after the 10-day period, your subscription will  cancel and you must sign up again to continue receiving GroomBox.  

Cancellation Fees 

There are no cancellation fees for month to  month subscriptions.  However, if you cancel a term plan, your boxes will  continue until your  prepaid term expires. There are no refunds once the  order is placed as  product manufacturing for shears is started months  in advance. Local  laws vary, please check as this may not apply to you. 

Refunds 

All products are sold as is with no refund.  This applies to  everything in the store including subscription boxes and  shears. If we  choose to allow refunds, it will be written in the  description. Term  plans can be refunded following the chart at the  bottom of the page.   No refunds of gift cards under any circumstance.  Gift Cards do not  expire. There are also no refunds of gift cards,  account credits, or  used merchandise under any circumstance. GroomBox  may provide a gift  card at its sole discretion, but this is solely up to  GroomBox.  

Product Information; Limitation on Quantities 

Excluding any content that may be submitted  by Members from time to  time, we strive to ensure that the information  on the Site is complete  and reliable. Certain information may contain  pricing errors,  typographical errors and other errors or inaccuracies,  which we may  correct without liability. We also reserve the right to  limit  quantities purchased by Members and to revise, suspend, or  terminate an  event or promotion at any time without notice (including  after an  order has been submitted or acknowledged). We do not guarantee  that all  products described on our Site will be available. 

Proprietary Rights 

You acknowledge and agree that the content  (other than content that  may be submitted by Members), materials, text,  images, videos,  graphics, trademarks, logos, button icons, music,  software and other  elements available on the Site are the property of  GroomBox or our  licensors and are protected by copyright, trademark  and/or other  proprietary rights and laws. You agree not to sell,  license, rent,  distribute, copy, reproduce, transmit, publicly display,  publicly  perform, publish, adapt, edit, modify or create derivative  works from  any content or materials on the site. All trademarks are the  property  of their respective owners. 

Except as expressly set  forth in these Terms, no license is  granted to you and no rights are  conveyed by virtue of accessing or  using the Site. All rights not  granted under these Terms are reserved  by Groombox. 

Disclaimer – No Professional Advice 

Any information provided by us regarding the  products or otherwise  (e.g. product descriptions or instructions) is  for informational  purposes only. You should not take any action based  upon any  information contained on the Site. Use of the Site is not meant  to  serve as a substitute for professional advice. You should read and   strictly follow all product labels, packaging inserts and instructions   and all manufacturer directions and warnings and seek independent   professional advice when appropriate. 

Taxes 

Your total price will include the price of  the product plus any  applicable sales tax for orders shipped to the  State of Florida; such  state and local sales tax is based on the  shipping address and the  sales tax rate in effect(Currently 7.5%) at the  time you purchase the  product. We will charge tax only for orders sold  and shipped to  Florida. All other states it is your responsibility to  pay tax on your  purchases, not GroomBox responsibility unless required  to do so.  

Limitation of Liability 

EXCEPT IN THE CASES OF WILLFUL MISCONDUCT  AND RECKLESS CONDUCT ON  THE PART OF GROOMBOX, IN NO EVENT SHALL  GROOMBOX, SUBSIDIARIES,  AFFILIATES OR ANY OF THEIR RESPECTIVE OFFICERS,  DIRECTORS, EMPLOYEES,  AGENTS, SUCCESSORS, SUBSIDIARIES, SUPPLIERS,  AFFILIATES, OR THIRD  PARTIES PROVIDING INFORMATION ON THIS SITE OR BE  LIABLE TO ANY USER OF  THE SITE OR ANY OTHER PERSON OR ENTITY FOR ANY  DIRECT, INDIRECT,  SPECIAL, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY  DAMAGES (INCLUDING, BUT  NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS,  LOSS OF DATA, OR LOSS OF  USE) ARISING OUT OF THE USE OR INABILITY TO USE  THE SITE, WHETHER BASED  UPON WARRANTY, CONTRACT OR TORT (NEGLIGENCE).  EVEN IF GROOMBOX HAS  BEEN ADVISED OF OR SHOULD HAVE KNOWN OF THE  POSSIBILITY OF SUCH DAMAGES  OR LOSSES. EXCEPT IN THE CASES OF WILLFUL  MISCONDUCT AND RECKLESS  CONDUCT ON THE PART OF GROOMBOX, IN NO EVENT  SHALL THE TOTAL LIABILITY  OF GROOMBOX, ITS AFFILIATES OR ANY OF THEIR  RESPECTIVE OFFICERS,  DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS,  SUBSIDIARIES, SUPPLIERS,  AFFILIATES OR THIRD PARTIES PROVIDING  INFORMATION ON THIS SITE TO YOU  FOR ALL DAMAGES, LOSSES, AND CAUSES OF  ACTION RESULTING FROM YOUR USE  OF THIS SITE, WHETHER IN WARRANTY,  CONTRACT OR TORT (NEGLIGENCE),  EXCEED THE AMOUNT YOU PAID TO GROOMBOX IN  CONNECTION WITH THE EVENT  GIVING RISE TO SUCH LIABILITY. You hereby  acknowledge that the  preceding paragraph shall apply to all content,  merchandise and  services available through the Site. 

Use of Products 

You agree by using our service not  to hold GroomBox or its  suppliers at fault for the use for any of the  products that you receive  from GroomBox. You must follow all directions  for use and items are to  be used at your own risk. We will not be held  liable to damages,  injury, or loss of revenue from the use of any  products that you  receive from GroomBox.  

International Customers 

We control and operate the Site from the  United States. We make no  representation that materials on the Site are  appropriate or available  for use outside the United States. If you  choose to access this Site  from outside the United States, you do so at  your own initiative and  are responsible for compliance with local laws,  if and to the extent  local laws are applicable. This also applies to  products being  delivered overseas and any respective customs charges,  duties, taxes,  or prohibited items.  

Risk of Loss 

Any merchandise purchased from our Site is  shipped directly by  GroomBox. There are rare cases in which an order may  come direct from a  manufacturer. In both cases, if an item is scanned  as delivered at an  address that was provided on the site, there will be  no refund or  reshipment of merchandise, as this counts as delivery in the eyes of  GroomBox. If you do not have your package, reach out and we can provide  instructions on how to get the location scans from the carriers.  Insurance claims that are able to be paid, will allow us to reship or  refund to you at no additional costs.   

Governing Law 

The laws of the State of Florida shall govern these Terms without regard to conflict of laws provisions. 

Disputes 

Any dispute relating in any way to your  visit to, or use of, the  Site, to the products you purchase through the  Site (including a  subscription), or to your relationship to Groombox  shall be submitted  to confidential arbitration in Pensacola, Florida;  provided, however,  that to the extent that you have in any manner  violated or threatened  to violate our intellectual property rights, we  may seek injunctive or  other appropriate relief in any state or federal  court in the State of  Florida. You hereby consent to, and waive all  defenses of lack of  personal jurisdiction and forum non conveniens with  respect to, venue  and jurisdiction in the state and federal courts of  Florida.  Arbitration under these Terms will be conducted pursuant to the   Commercial Arbitration Rules then prevailing at the American   Arbitration Association. The arbitrator’s award will be final and   binding and may be entered into as a judgment in any court of competent   jurisdiction. To the fullest extent permitted by applicable law, no   arbitration under these Terms will be joined to an arbitration  involving  any other party subject to this Terms, whether through class  action  proceedings or otherwise. You agree that regardless of any  statute or  law to the contrary, any claim or cause of action arising  out of,  related to or connected with the use of this Site or these  Terms must be  filed within one (1) year after such claim of action  arose or be  forever banned. Arbitration is more informal than a lawsuit  in court.  Arbitration uses a neutral arbitrator instead of a judge or  jury, allows  for more limited discovery than in court, and is subject  to very  limited review by courts. Arbitrators can award the same  damages and  relief that a court can award. YOU AND GROOMBOX LLC AGREE  THAT EACH MAY  ONLY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS  INDIVIDUAL  CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY  PURPORTED CLASS  OR REPRESENTATIVE PROCEEDING. Further, unless both you  and GROOMBOX LLC  agree otherwise, the arbitrator may not consolidate  more than one  person's claims with your claims, and may not otherwise  preside over any  form of a representative or class proceeding. The  arbitrator may award  declaratory or injunctive relief only in favor of  the individual party  seeking relief and only to the extent necessary to  provide relief  warranted by that party's individual claim.
